1. Introduction & Legal Subject
These Terms constitute a legally binding agreement between you and Wan Yi ("Developer", "we", "us", or "our"). This agreement governs your access to and use of the SubEnvoy macOS and iOS applications, the subenvoy.app website, and any related APIs or backend services (collectively, the "Services").

- Scope of Services: SubEnvoy is a professional AI-powered tool designed to provide local video transcription and subtitle translation services across our App, Website, and API.
2. Accounts
To access certain features, specifically the AI translation services, you must register for an account using your email address.
- Registration & Login: We use a secure, passwordless authentication system. You only need to provide a valid email address. The system will send a one-time passcode to your email to verify your identity. Your account will be automatically created upon your first successful login.
- No Additional Information Required: We do not require you to provide a real name, phone number, or any other personal information.
- Account Security: You are responsible for maintaining the security of the email address associated with your account, and for all activities under your account.
- Anti-Abuse: You must not create multiple accounts to circumvent point limits or subscription rules.
- You may delete your account at any time through the App settings, subject to the conditions outlined in our Privacy Policy.
3. Subscriptions and Points
SubEnvoy offers both subscription plans and pay-as-you-go credit packs for accessing premium AI translation features.
- Subscription Points: Granted monthly based on your active subscription tier. These points reset at the end of each billing cycle and do not roll over.
- Credit Packs & Validity: Points are virtual goods, hold no cash value, are non-exchangeable for cash, and non-transferable. Points purchased via credit packs remain permanently valid for subscribers (any tier); after subscription lapses, the account enters a 365-day asset protection period during which remaining points can still be used. If there is no active subscription and no account activity for 365 consecutive days, the balance will be forfeited to clean up inactive accounts. Any new purchase (renewal or new pack) resets the protection period countdown. Upon voluntary account deletion or service termination, all unused points will be forfeited unless otherwise required by applicable law.
- Apple Auto-Renewal Subscriptions: Subscriptions are billed through your Apple ID account. Your subscription will automatically renew unless canceled at least 24 hours before the end of the current billing period.
- Payment & Cancellation: Your account will be charged for renewal within 24 hours prior to the end of the current period. You can manage and cancel your subscriptions by going to your iOS "Settings" > "Apple ID" > "Subscriptions" after purchase.
- Price Changes: Apple will notify you in advance of any price changes. You may choose to accept the new price or cancel your subscription.
- Refunds: All purchases are processed through Apple's App Store and are subject to Apple's refund policies. We do not process payments or issue refunds directly.
4. Acceptable Use & Compliance Guidelines
You agree to use SubEnvoy only for lawful purposes and in a manner that does not infringe the rights of others.
- You must not use the App to process, translate, or distribute content that is illegal, harmful, offensive, or violates intellectual property rights.
- Compliance Guideline: Please refrain from processing copyrighted commercial films or television programs without proper authorization.
- The generated subtitles must not be used in a manner that infringes third-party rights.
- You must not attempt to reverse-engineer, decompile, disassemble, or circumvent any security measures of the App.
- You must not scrape, batch extract, or use the App and its outputs for commercial-scale data collection by any automated means.
5. AI Processing Disclaimer
The subtitles generated by this software are automatically generated by AI and do not represent the views of the developer. Please use them strictly within the scope permitted by law. Due to the nature of Artificial Intelligence technologies, we cannot guarantee completely error-free results.
- Local Transcription: The accuracy of the local transcription depends on the source audio quality and the capabilities of the built-in Whisper model.
- Cloud Translation: While we utilize advanced Large Language Models for translation, the results may occasionally contain inaccuracies, missing nuances, or formatting issues.
- You are responsible for reviewing and verifying the generated subtitles before using them for professional or critical purposes.
- Service & Model Updates: The AI models used may be replaced or updated at any time. Consequently, processing results may vary following system upgrades. Additionally, cloud services may experience temporary interruptions due to maintenance or unforeseen issues.
6. Termination
In reasonable circumstances, we may suspend or terminate your access to the App and its services.
- Termination may occur if you severely breach these Terms of Service or engage in fraudulent or abusive activities.
- Upon termination, your right to use the App will immediately cease. In cases of termination due to severe violations, remaining points or active subscriptions will not be refunded. In cases of non-violation termination, your paid benefits will be retained for the remaining subscription period or appropriately compensated.
7. Intellectual Property & Disclaimer
SubEnvoy is provided solely as a technical tool. You bear full responsibility for the legality of the media materials you upload and process. We respect your rights and protect our own intellectual property.
- Your Content & Generated Subtitles: You retain all rights, ownership, and copyright to the audio, video, and original subtitle files you process using the App. To the extent permitted by applicable law, you also retain all rights to the newly translated subtitles generated by the AI.
- Guarantee of Legality: You guarantee that you have the lawful right to upload and process any content you submit. We reserve the right to remove or delete any illegal or infringing materials when necessary.
- Our Content: The App, Site, original design, code, and branding are the exclusive property of SubEnvoy and are protected by applicable copyright laws.
8. License Grant (EULA)
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited license.
- We grant you a personal, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the App on Apple devices that you own or control.
- This license is solely for your personal or internal business use, conforming to the Usage Rules set forth in the Apple App Store Terms of Service.
- Restrictions: You must not rent, lease, lend, sell, or sublicense the App. You must not modify, distribute, or create derivative works based on the App. You are strictly prohibited from bypassing, modifying, or circumventing any digital rights management (DRM) or security mechanisms.
- Ownership: This license does not grant you any ownership rights in the App.
9. Limitation of Liability
To the maximum extent permitted by applicable law, SubEnvoy provides the App "AS IS" and "AS AVAILABLE" without warranties of any kind.
- We disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement.
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or media assets arising from your use of the App.
- Liability Cap: In no event shall our aggregate liability for all claims related to the App or these Terms exceed the total amount you paid to us, if any, in the 12 months immediately preceding the event giving rise to the claim.
- Non-excludable Liability: Nothing in these Terms shall exclude or limit liability that cannot be excluded under applicable law.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions.
- Any disputes arising out of or relating to these Terms or the use of the App shall be subject to the exclusive jurisdiction of the competent courts located in Shanghai, China.
- We reserve the right to modify these Terms at any time. Material changes will be clearly communicated by updating the "Last updated" date.
11. Service Modification & Interruption
We are constantly improving SubEnvoy, which means the service may change over time.
- We may occasionally pause the service for maintenance or updates.
- We do not guarantee that the App or its services will be permanently available or uninterrupted.
12. Export Controls & Sanctions
By using the App, you represent and warrant that you are not located in a country or region that is subject to comprehensive economic sanctions or export controls imposed by the United Nations, United States, or other applicable authorities.
- Due to the integration of advanced AI models, you must strictly comply with all applicable export control and sanctions laws. You are prohibited from using the service in sanctioned regions.
13. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary.
- The remaining provisions of these Terms will remain in full force and effect.
14. Assignment
We may assign or transfer these Terms in connection with a merger, acquisition, or sale of assets.
- You may not assign or transfer these Terms without our prior written consent.
15. Governing Language
These Terms are provided in multiple language versions. The other language versions are provided for convenience only.
- In the event of any discrepancy between translated versions, the English version shall prevail.
